1. Acceptance of Terms

By accessing or using the Madini platform ("Service"), operated by SolidiFi Mining ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and SolidiFi Mining regarding your use of the Service. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the Service following any modifications indicates your acceptance of the modified Terms.

2. Description of Service

Madini is a mineral prospectivity mapping platform that provides geological analysis and exploration targeting services. The Service uses satellite imagery, geophysical data and published deposit-model weightings to generate prospectivity maps and ranked exploration targets. It does not predict the presence of mineralisation: prospectivity scores are a screening rank within the area you submit, and testing against 45 independently recorded gold deposits found they did not rank above randomly chosen ground in the same areas. Every report states this.

The Service is provided on a per-analysis basis and is intended for use by professional geologists, mining companies, and exploration professionals. The analysis results are generated using computational methods and should be used as one component of a comprehensive exploration program.

All analyses are derived exclusively from publicly available Earth observation datasets — including ESA Sentinel-2, NASA Landsat, NASA ASTER, NASA EMIT, USGS SRTM, and open aeromagnetic and gravity products — together with the region geometry you supply. SolidiFi Mining does not access, collect, or process any proprietary data, ground truth, or confidential information belonging to the holder of any mining licence or tenement.

3. User Accounts and Registration

To access the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to: (a) provide true, accurate, and complete information during registration; (b) maintain and promptly update your account information; (c) maintain the security of your password and account; (d) accept responsibility for all activities under your account; and (e) immediately notify us of any unauthorized use of your account.

4. Payment Terms

Analysis requests are billed on a per-analysis basis after review and approval by our team. Upon approval, you will receive an invoice via email. Payment can be made by card or bank transfer. Your analysis will begin processing once payment is confirmed.

Payment is required before analysis processing begins, unless waived for qualifying government or academic institutions. All fees are non-refundable except as required by applicable law. We reserve the right to modify our pricing at any time, with notice provided before your next invoice.

5. User Conduct and Acceptable Use

You acknowledge that SolidiFi analyses may be commissioned on any geographic area, including tenements held by third parties, because they rely solely on publicly available remote-sensing data. You are responsible for ensuring that your use and onward distribution of any report complies with applicable law and any contractual obligations you may have to third parties.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to any portion of the Service or its related systems
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Use the Service to transmit any malicious code, viruses, or harmful data
  • Share your account credentials with third parties or allow unauthorized access to your account
  • Use automated systems or software to extract data from the Service without our express written consent
  • Resell, sublicense, or redistribute the Service or any analysis results without authorization
  • Use analysis reports to knowingly misrepresent, disparage, or unlawfully interfere with any third party's mineral rights, tenements, or commercial interests

6. Intellectual Property Rights

The Service, including its original content, features, functionality, software, algorithms, and underlying technology, is and will remain the exclusive property of SolidiFi Mining and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any data you upload to the Service, including geographic regions of interest and analysis parameters. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service. Analysis results generated by the Service are provided to you under license for your internal business use.

7. Data and Analysis Results - Important Disclaimer

THE ANALYSIS RESULTS PROVIDED BY THE SERVICE ARE FOR INFORMATIONAL AND REFERENCE PURPOSES ONLY. THEY DO NOT CONSTITUTE GEOLOGICAL ADVICE, MINING RECOMMENDATIONS, OR INVESTMENT ADVICE.

The prospectivity maps, exploration targets, and other analysis outputs generated by the Service are based on computational analysis of available data and should not be relied upon as the sole basis for exploration decisions, land acquisition, drilling programs, or any other business decisions.

Mineral exploration is inherently uncertain. The presence of favorable indicators does not guarantee the presence of economic mineral deposits. All analysis results should be validated through field verification, additional geological studies, and professional geological interpretation before any decisions are made.

The Company makes no representations or warranties regarding the accuracy, completeness, or reliability of the analysis results. Users are solely responsible for any decisions made based on the Service's outputs.

7.1 Source Data and Third-Party Rights

Because all inputs to the Service are publicly available datasets, requesting an analysis on a given geographic area does not require the consent of, and does not confer any rights from or obligations to, any holder of mineral rights to that area. Reports generated by the Service are an independent interpretation by SolidiFi Mining of public remote-sensing data and are neither produced by, endorsed by, nor affiliated with any licence holder unless that licence holder is the requesting user.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOLIDIFI MINING, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content
  • Any decisions made based on analysis results provided by the Service
  • Any exploration, drilling, or mining activities undertaken based on the Service's outputs
  • Any financial losses, including investment losses, related to the use of the Service

In no event shall our total liability to you for all claims exceed the amount paid by you to us during the twelve (12) months preceding the claim.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that: (a) the Service will meet your specific requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the results obtained from the Service will be accurate, complete, or reliable; (d) any errors in the Service will be corrected.

10. Indemnification

You agree to defend, indemnify, and hold harmless SolidiFi Mining, its officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Service
  • Your violation of any rights of a third party
  • Any decisions or actions taken based on analysis results from the Service
  • Any exploration, mining, or related activities conducted based on the Service's outputs
  • Any claim brought by a third party, including any holder of mineral rights to an area you requested analysis on, arising from your use or distribution of analysis results
  • Your representation or misrepresentation of analysis results as endorsed by, verified by, or obtained from any third party

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. You may download your data within 30 days of termination, after which we may delete your data. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Republic of Tanzania, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Dar es Salaam, Tanzania for the resolution of any disputes arising from these Terms or the Service.

13. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration in Dar es Salaam, Tanzania, in accordance with the Tanzania Arbitration Act.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
